🛠️ Developer Terms of Use – Numera

Welcome to the Numera Developer Portal. These Developer Terms of Use (“Terms”) govern your access to and use of Numera’s APIs, SDKs, smart contracts, documentation, and other developer tools (collectively, the “Developer Tools”).

By accessing or using our Developer Tools, you (“Developer” or “you”) agree to be bound by these Terms, Numera’s [General Terms of Use], and [Privacy Policy]. If you do not agree, do not use our Developer Tools.

1. Eligibility

You must be at least 18 years old and legally able to enter into contracts. If you’re accessing the Developer Tools on behalf of a company or organization, you must have the authority to bind that entity.

2. License Grant

Numera grants you a limited, non-exclusive, non-transferable, revocable license to use the Developer Tools solely to build and operate applications that interact with the Numera ecosystem, subject to these Terms.

3. Acceptable Use

You agree not to:

• Use Developer Tools for any unlawful, deceptive, or harmful purpose.
• Misrepresent your application as an official Numera product.
• Interfere with or disrupt Numera’s infrastructure or services.
• Reverse-engineer or attempt to extract source code, unless expressly allowed.
• Use bots or scripts to abuse APIs or smart contracts.

4. Security & Compliance

• You are responsible for implementing appropriate security measures in your application.
• If your application handles user data or funds, you must comply with all applicable laws and regulations.
• You must notify Numera immediately if you discover any security vulnerability in our systems or your integration.

5. Branding & Attribution

• You may use the “Numera” name and logo only as provided in our Brand Guidelines.
• Do not mislead users into believing your app is developed or endorsed by Numera unless explicitly authorized.

6. Fees

Currently, Numera does not charge fees for Developer Tool access. However, Numera reserves the right to introduce charges in the future with prior notice.

7. Termination

We may suspend or terminate your access to Developer Tools at any time, for any reason, including violation of these Terms.

Upon termination:

• Your license ends immediately.
• You must cease all use of Developer Tools.
• You must delete all cached or stored data obtained through our APIs or services.

8. Disclaimer of Warranties

Developer Tools are provided "as is" and "as available" without warranties of any kind. Numera disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Numera shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the use of Developer Tools.

10. Modifications

Numera may update these Terms at any time. Continued use of Developer Tools after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of [Your Jurisdiction], without regard to conflict of laws principles.
